Probably by now you know the answer.
If you buying a business, it would be TOGC (transfer of going concern) so TOGC is outside scope of vat, hence, there should not be a vat.

It might be worth talking to an agent who deals in franchise resales to get advice on this. We have a directory of commercial agents at http://www.daltonsbusiness.com/btadirectory.aspx which might be of use here?

If you are taking a franchise and a new start then just go through the process of registering for VAT at HMRC website.
It will ask you for the date you want VAT registration to start and any purchases from that time once you receive your VAT registration can be claimed back.
But you cannot charge your customers until you have received your VAT documents.
