Hello, has anyone got any advise or know where to download guides to a Sales order agreement.
I have a basic order agreement (written by myself!)for customers at the moment, to sign and agreeing to the price and services provided.
I sometimes spend a lot of money upfront on equipment etc and it worries me that the agreement 'would not stand up' if someone backed out - I could be left with a lot of equipment that I might not resell for sometime and down a lot of money.
Suppose it all comes down to terms and conditions, which are always confusing - I am a little hesitant to get a solicitor to design it because of the costs involved.

We would be happy to provide some guidance on the viability of your present terms and conditions free of charge. If they need amending we can also quote a price for you but it would be under £60.00.
We do however advise all our clients that before any equipment or goods are purchased for a client on order you need to know about their credit worthiness and also take a substantial whole cost deposit against goods you need to buy in.
As your business grows this can alter but for a start up it can mean a close down if someone lets you down.

Hi Si,
One option you could pursue is taking up the free half-hour available from Lawyers for your business run by the Law Society but this presumes that all your stuff's ready and this would be a final check of sorts before you started trading.
Alternatively, if you can find a good lawyer whom you can work with, this should save you a lot of money, time and hassle in the long run.

I should point out that we offer legal services as a consultancy formed from a 'break out' group of solcitors and barristers who operated in the commercial legal arena.
We noted when we worked in private practice that the 'free half hour' was often simply a device to get the client into service purchase for £160 per hour plus VAT services, the average terms and conditions of sale for a new business being around 4 hours work for a solicitor at that hourly charge-out rate. All legal firms are encouraged to opt into this free service by the Law Society but in practice it works only as a marketing tool for the majority.
So we now offer a really free overview, we point out the issues needing work and whether the areas for change are crucial or core to the business operation. If a re-write is needed then we charge a fixed fee of between £25.00-£58.00 to re-write the terms, or sales offer material. If you don't want the re-write service from us then you just take the free report and use it when you are ready.
All our services are based on operating within the law and the consultancy has developed into a holistic service supported by professionals from other areas.
Our clients are insured fully in most aspects of their personal and business lives so don't pay legal fees to High street legal practices directly. Its another way of offering legal advice and for our clients to get to speak to lawyers without waiting for an appointment or speaking to him/her via a receptionist or secretary.

Thanks for the advise Lee and Caroline - must admit the free half-hour always seemed a 'get you in the door trick' !
You got me a little worried Lee - credit checks etc, generally I can afford to take a hit , but of course the bigger jobs could leave me struggling to find the money for future customers if I was let-down.
Generally I quote, get signature and invoice, but have no real terms and conditions etc - the deposit idea is a good one, which I might implement for bigger jobs which cost me more in products I have to buy in, I have a couple of forms which I perhaps could get you to take a look if I emailed them to you, but they are very basic (I designed them ! :-)).

Please email me tomorrow at info@limeone.com. I will get one of our commercial lawyers to look at them and give you some feedback by Tuesday. It also would help if you can say in the email the average cost of your product/service and how much of that in terms of a percentage is money you have to pay on to your suppliers. Our lawyer can then advise you on some ways to minimise the risk/exposure to the financial health of your business. Don't worry about the format of that you send to us, our lawyers are used to seeing home made versions and a lot do contain the sort of information you need if something goes wrong.
